BWIN Private Takeover

BWIN Private Takeover

Baldwin Insurance Group (BWIN) announced a definitive agreement to be taken private by a consortium formed by Sequence Holdings and DFO Management, the Dell family office. The all‑cash transaction values BWIN at an enterprise value of roughly $7.7 billion, with shareholders receiving $32.50 per share in cash—an approximately 88 % premium to the June 17, 2026 closing price of $29.65. The deal is expected to close in the first quarter of 2027, subject to shareholder and regulatory approvals, and will imply a multiple of about 20× BWIN’s trailing‑12‑month Adjusted EBITDA of $396 million. Eligible BWIN employees will be able to roll over a portion of their holdings into the new private company, maintaining a significant minority equity stake. Upon completion, BWIN will delist from Nasdaq and become a privately held entity. Market reaction was positive; BWIN shares rose 7.4 % on Monday, giving the stock a year‑to‑date gain of 33 %, and the transaction is positioned as one of the largest acquisitions undertaken by Dell’s family office, likely influencing valuations across the insurance‑brokerage sector given the recurring‑commission model and relatively low capital requirements.
