Pre‑Stabilisation Announcement

CLARIANE SE, a guarantor-issuing company, has announced a pre‑stabilization period for its issuance of EUR 333M PERP UNDATED NC3 SUBORDINATED FIXED RATE RESETTABLE NOTES. BNP Paribas, as Stabilisation Coordinator, has notified the potential stabilisation of these securities in accordance with Commission Delegated Regulation EU/2016/1052 under the Market Abuse Regulation (EU/596/2014). The Stabilisation Manager(s) may over‑allot the securities or effect transactions to support the market price during the expected 7‑day stabilisation period, which is set to begin on June 23, 2026. Any stabilisation action will be conducted in accordance with applicable laws and rules.
