Regulatory Approval Conditions

The offer is contingent on merger‑control clearance and approval by the German Federal Financial Supervisory Authority (BaFin). It is governed by German securities laws and German law, and Frasers has reserved the right to deviate from the basic terms in the final terms and conditions. Completion of the transaction is expected in the second half of 2026, provided all regulatory approvals are obtained.
